1. Overview

These Terms of Service ("Terms") govern the relationship between Avert Automation LLC ("we," "us," or "our") and any individual or business ("Client," "you") that engages our services. By signing a Service Agreement, paying an invoice, or otherwise beginning an engagement with Avert Automation LLC, you agree to these Terms.

These Terms apply to all services provided by Avert Automation LLC, including but not limited to: facility assessments, preventative maintenance system setup, QR code deployment, automation configuration, dashboard access, and ongoing account management.

2. Services

Avert Automation LLC provides done-for-you preventative maintenance systems for small and mid-sized businesses. Our services may include:

  • Facility walkthrough and asset documentation
  • Configuration of maintenance schedules and workflows
  • QR code label generation and deployment
  • Automated reminder and escalation systems
  • Owner-facing compliance dashboards
  • AI-assisted vendor outreach and reporting
  • Ongoing account management and system updates

The specific scope of services will be outlined in a separate Service Agreement or Statement of Work signed by both parties prior to commencement.

3. Engagement & Onboarding

Services begin upon execution of a signed Service Agreement and receipt of the applicable onboarding fee. A free PM audit (facility walkthrough and assessment) may be conducted prior to any payment obligation — the audit itself carries no cost and no commitment.

Onboarding fees are non-refundable once work has commenced. Commencement is defined as the first day Avert Automation LLC begins configuration, documentation, or any billable work on behalf of the Client.

4. Billing & Payment

Monthly subscription fees are billed in advance at the start of each billing cycle. Payment is due within 14 days of invoice. All invoicing is handled outside of this website — Avert Automation LLC does not process payments through avertautomation.com.

Accepted payment methods will be specified in your Service Agreement. Late payments may result in a temporary suspension of services until the outstanding balance is resolved.

5. Cancellation Policy

You may cancel your subscription at any time by sending written notice to hello@avertautomation.com. Cancellations take effect at the end of the current billing cycle. No refunds are issued for the current period, regardless of when notice is provided.

Upon cancellation, Avert Automation LLC will provide a reasonable transition window to export your data and transfer any materials we hold on your behalf. System access will be discontinued at the end of the final paid period.

6. Client Responsibilities

To deliver our services effectively, you agree to:

  • Provide reasonable access to your facility for walkthroughs and QR code installation
  • Provide accurate and complete asset information to the best of your knowledge
  • Designate a point of contact who can respond to check-ins and change requests
  • Ensure relevant staff are made available for the initial go-live training session
  • Notify us promptly of any significant changes to your equipment or operations

7. Intellectual Property

Avert Automation LLC retains ownership of all system templates, automation logic, workflow configurations, and proprietary processes used to deliver our services. Your asset data, maintenance records, and operational information remain your property.

Upon cancellation or termination, we will provide you with an export of your data in a standard format upon request.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the engagement. Avert Automation LLC will not disclose your operational details, asset lists, or business information to third parties without your consent, except as required by law.

We may reference your business name and general industry as part of a client portfolio or testimonial only with your explicit written permission.

9. Limitation of Liability

Avert Automation LLC provides organizational and automation services — we are not a licensed maintenance contractor, equipment repair service, or safety inspection agency. Our services are designed to help you track and manage maintenance tasks, not to guarantee the safety or performance of any equipment.

To the maximum extent permitted by law, Avert Automation LLC's total liability for any claim arising from our services shall not exceed the total fees paid by you in the three (3) months prior to the claim. We are not liable for equipment failures, injuries, property damage, lost revenue, or any indirect or consequential damages.

10. No Guarantee of Outcomes

We make no guarantees regarding specific maintenance outcomes, equipment longevity, regulatory compliance, or reduction in downtime. Results depend on factors outside our control, including client-side execution, equipment condition, and third-party vendors.

11. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the appropriate courts of North Carolina.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms. For material changes, we will make reasonable efforts to notify active clients directly.
